End-User License Agreement

Effective date: 8 May 2026

This End-User License Agreement (“Agreement”) governs the use of Bill Parser (the “Software”), an internal QuickBooks Online integration operated by Carrits Real Estate, LLC (“Carrits”). The Software is not distributed to the public and is not available for third-party sign-up.

1. Authorized users

The Software may be installed and used solely by employees, contractors, or other personnel of Carrits Real Estate, LLC who have been authorized in writing by Carrits to operate it (“Authorized Users”). Use by any other person or entity is prohibited.

2. License grant

Subject to the terms of this Agreement, Carrits grants each Authorized User a limited, revocable, non-transferable, non-sublicensable license to install and run the Software on a workstation owned or controlled by Carrits, for the sole purpose of accessing and operating on Carrits’ own QuickBooks Online company data.

The Software, including all source code, documentation, and associated materials, is and remains the property of Carrits Real Estate, LLC. Intuit’s QuickBooks Online platform, APIs, and trademarks remain the property of Intuit Inc. Nothing in this Agreement transfers any rights in third-party intellectual property to any Authorized User.

5. No warranty

The Software is provided “as is” and “as available” for internal use, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Authorized Users are responsible for reviewing and validating any actions the Software takes against QuickBooks Online before relying on the resulting records for accounting, tax, or financial-reporting purposes.

6. Limitation of liability

To the fullest extent permitted by law, Carrits Real Estate, LLC shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or related to the use of the Software, including loss of data, loss of profits, or business interruption, even if advised of the possibility of such damages.

7. Termination

Carrits may revoke an Authorized User’s license at any time, with or without notice. On termination, the Authorized User must disconnect the Software from QuickBooks Online (using qbo-mcp auth logout or by removing the connected app from QuickBooks Online), and remove the Software and any cached data from their workstation.

8. Governing law

This Agreement is governed by the laws of the United States and the state in which Carrits Real Estate, LLC maintains its principal place of business, without regard to conflict-of-laws principles.
